1. Acceptance
By using this website or purchasing services from Infynex LLC (“Infynex”, “we”, “us”), you agree to these Terms of Service. If you do not agree, do not use the website or our services.
2. Eligibility
You must be of legal age to enter into a contract in your jurisdiction and, where you act on behalf of a business, be authorized to bind that business.
3. Services
Infynex provides technology, digital-commerce, software, and creative services, including digital products and software subscriptions, web development, SaaS and custom software, automation, design and branding, video and content production, and digital marketing creative support. Infynex is not a bank, payment processor, money transmitter, or financial institution and provides no regulated financial services.
4. Quotes and Orders
Quotes describe the scope, deliverables, and price for a specific engagement and are valid for the period stated. An order is accepted once Infynex confirms it in writing.
5. Payments
Prices, currency, payment schedule, and any deposit requirement are set out in the quote or order confirmation. Work may be paused where an invoice remains unpaid beyond its due date.
6. Digital Products and Software Subscriptions
Digital products and software subscriptions are supplied subject to availability and to the applicable third-party provider’s own terms, activation requirements, and renewal conditions. Infynex is not the owner, developer, or official representative of third-party software unless expressly stated. Third-party product names and trademarks remain the property of their respective owners, and their appearance does not imply sponsorship, partnership, or endorsement.
7. Custom Projects
Custom development, design, automation, and content projects are scoped individually. Changes to an agreed scope may affect price and timeline and will be confirmed in writing before proceeding.
8. Intellectual Property
Unless otherwise agreed in writing, ownership of final custom deliverables transfers to the client on full payment. Infynex retains rights in its own pre-existing tools, frameworks, and know-how. Website content, branding, and materials published by Infynex remain the property of Infynex.
9. Client-Provided Materials
You are responsible for ensuring you hold the necessary rights to any content, data, logos, or materials you provide, and that their use does not infringe third-party rights.
10. Third-Party Services
Projects may rely on third-party platforms, APIs, or hosting. Their availability, pricing, and terms are outside our control, and changes made by those providers may affect a delivered solution.
11. Acceptable Use
You may not use our website or services for unlawful purposes, to infringe the rights of others, to distribute malicious code, or to attempt unauthorized access to systems.
12. Delivery
Digital products are delivered electronically using the activation or access method applicable to the product. Custom services are delivered according to the milestones and formats set out in the agreed scope.
13. Cancellations and Refunds
Cancellation and refund eligibility are described in our Refund Policy and in the specific terms of your order.
14. Disclaimers
Except as expressly stated, services are provided “as is” without warranties of any kind. We do not warrant that a website, application, or automation will be uninterrupted or error-free.
15. Limitation of Liability
To the extent permitted by law, Infynex is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data. Our total liability arising from an engagement is limited to the amount paid for the service giving rise to the claim.
16. Termination
Either party may terminate an engagement in accordance with the agreed project terms. Work completed up to the date of termination remains payable.
17. Changes
We may update these terms. Continued use of the website or services after an update constitutes acceptance of the revised terms.
18. Governing Law
